Code of EthicsCBT FINANCIAL CORPORATION (OTCBB - CBTC) 
With regard to disclosing a Code of Ethics, the Securities and Exchange Commission, on January 15, 2003, issued final rules related to the Sarbanes-Oxley Act of 2002. The ruling requires a company to disclose whether it has adopted a Code of Ethics.The Code of Ethics applies to the company's principal executive officer, principal financial officer, principal accounting officer or controller, or persons performing similar functions. CBT Financial Corp. adopted a Code of Ethics per government guidelines.A copy of our Code of Ethics is available upon request.

Please note, if a company has not adopted a Code of Ethics, a disclosure must be made to this fact and explain why it has not done so. This requirement applies regardless of whether or not a company is listed on an Exchange or quoted on NASDAQ.
